About These Terms
These terms govern all services provided by Coastal Programs, including one-off automation projects, website development, and ongoing business services. By engaging our services, you agree to these terms and any specific project agreements.
1. Service Types & Scope
One-Off Projects
Fixed-scope deliverables:
- • Website development and design
- • Single automation implementations
- • System integrations and setups
- • Defined project with clear deliverables
- • Payment on milestone or completion
Ongoing Business Services
Continuous service relationships:
- • Multiple automation projects
- • Ongoing system maintenance
- • Business process optimization
- • Monthly retainer arrangements
- • Priority support and development
Project Definition: Each engagement includes a detailed scope of work, timeline, and deliverables. Additional work beyond the agreed scope requires separate authorization and may incur additional charges.
2. Third-Party Platform Dependencies
Important: Our automation services utilise various third-party platforms. Service functionality depends on these platforms' availability, features, and policies.
Platform Categories
- Workflow Automation: Integration and process automation platforms
- Database Services: Cloud-based data storage and management
- Communication Tools: Email, SMS, and notification services
- Business Integrations: CRM, analytics, and business tool connections
Platform Limitations
- We are not liable for third-party platform outages, changes, or discontinuation
- Platform subscription costs are client responsibility unless otherwise agreed
- Feature changes by platform providers may affect automation functionality
- Data security depends on both our measures and platform security standards
3. Payment Terms & Billing
One-Off Projects
- • Fixed project pricing as quoted
- • 50% deposit before commencement
- • Balance due upon completion
- • Payment terms: 14 days from invoice
- • Additional work charged separately
Ongoing Services
- • Monthly retainer as agreed
- • Payment terms: Net 30 days
- • Additional work at standard rates
- • Annual review of retainer rates
- • 30 days notice for rate changes
General Payment Conditions
- All fees exclude GST which will be added where applicable
- Late payment fee: 5% per month on overdue amounts (maximum allowed under ACL)
- Disputed amounts must be raised within 14 days of invoice receipt
- Services may be suspended for accounts over 60 days overdue
- Third-party platform costs and expenses billed separately with prior approval
4. Intellectual Property & Ownership
Client Data & Content
- You retain full ownership of all business data and content provided
- We process client data only as authorized for service delivery
- Client logos, branding, and proprietary information remain client property
Deliverables & Custom Work
- One-off projects: Custom work becomes client property upon full payment
- Ongoing services: Ongoing developments included in service scope
- Source code, configurations, and documentation transferred to client
- We may retain copies for support and maintenance purposes
General Methods & Portfolio Rights
- We retain rights to general methodologies, techniques, and knowledge gained
- Non-confidential concepts may be used for other client projects
- We may reference work in general terms for portfolio and marketing (no confidential details)
- Client-specific confidential information requires written permission for disclosure
5. Warranties, Limitations & Australian Consumer Law
Important: Where Australian Consumer Law applies, you have consumer guarantees that cannot be excluded. These terms do not limit your rights under consumer protection legislation.
Our Warranties
- Services performed with reasonable care and skill
- Work delivered according to agreed specifications
- Professional indemnity insurance maintained
- Compliance with Australian Privacy Principles
- 30-day warranty on workmanship for completed projects
Limitations
- No warranty on third-party platform performance
- Results depend on client system configurations
- Internet connectivity and external factors may affect performance
- Automated systems require periodic review and updates
- We cannot guarantee specific business outcomes
Liability Limitations (Subject to ACL)
- Total liability limited to fees paid for the specific project or 12 months of service fees
- Not liable for indirect, consequential, or special damages including lost profits
- Professional indemnity insurance covers errors and omissions in service delivery
- These limitations apply only to the extent permitted by Australian Consumer Law
6. Service Termination & Data Transition
One-Off Projects
- • Project completion upon delivery of agreed scope
- • 30-day support period for defects
- • All project files and credentials transferred
- • Data and access deleted after transition
- • Optional ongoing support available separately
Ongoing Services
- • Either party may terminate with 30 days notice
- • Immediate termination for material breach
- • 90-day transition support available
- • Documentation and system handover provided
- • Data securely deleted post-transition
Post-Termination Responsibilities
- Client responsible for maintaining platform subscriptions and access
- Automated systems continue operating through existing platform accounts
- We provide reasonable assistance with knowledge transfer
- Ongoing platform relationships and data handling become client responsibility
7. Dispute Resolution & Governing Law
Resolution Process
- Direct discussion and negotiation (30 days)
- Mediation through recognised Australian commercial mediation service
- Arbitration if mediation unsuccessful (by mutual agreement)
- Court proceedings in Western Australian jurisdiction as final option
Applicable Law
- These terms governed by Western Australian and Commonwealth Australian law
- Australian Consumer Law protections apply where relevant
- Privacy Act 1988 obligations maintained throughout service relationship
- Competition and Consumer Act 2010 unfair contract terms provisions acknowledged
8. General Provisions
Agreement Structure
- These terms apply to all services unless superseded by specific project agreements
- Individual Service Agreements or Statements of Work take precedence for project-specific matters
- Changes require written agreement signed by both parties
- If any provision is unenforceable, remaining terms continue in effect
Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, internet outages, platform failures, or government restrictions. Affected deadlines will be extended for a reasonable period.
